Terms of Service

1. Acceptance of terms

By registering, purchasing or using any Baires Host service, you accept these terms of service in their entirety and agree to comply with them. These terms constitute a binding contract between the client and Baires Host. If you disagree with any clause, you should not use our services. This contractual relationship is governed by the laws of the Argentine Republic.

2. Service description

Baires Host provides cloud infrastructure services (IaaS) including Cloud VPS, Bare Metal servers and Game Servers. Resources, technical specifications and current pricing are published on our website and client area. Baires Host reserves the right to modify technical specifications to improve the service, provided it does not imply a substantial reduction of contracted resources.

3. Registration, account and data accuracy

You must create an account with truthful, complete and up-to-date information. You are solely responsible for maintaining the confidentiality of your credentials and all activity under your account. Baires Host shall not be liable for unauthorized access resulting from the client's negligence in safeguarding credentials. Providing false information is grounds for immediate termination without right to refund.

4. Billing, payments and no-refund policy

Services are billed in advance according to the chosen cycle (monthly, quarterly, semi-annual or annual). Payment must be made before the due date. Failure to pay within 3 days after the due date authorizes service suspension. NO-REFUND POLICY: Payments made are non-refundable under any circumstances, including but not limited to: early cancellation, dissatisfaction with the service, plan changes, client errors in ordering, service disuse, or buyer's remorse. By completing payment, the client acknowledges that the digital service is activated and provisioned immediately, that they have received effective access to the contracted service, and expressly waives any right of withdrawal as the service is a digital product consumed and/or made available immediately upon purchase. SLA credits are the only form of compensation and apply exclusively as a discount on future invoices. The client accepts that the exclusive channel to resolve any dissatisfaction is the Baires Host support ticket system, and not the initiation of chargebacks, disputes or payment reversals with the payment processor or financial institution.

5. Digital service nature and immediate delivery

The client acknowledges and accepts that Baires Host services are digital infrastructure services that are provisioned, activated and delivered electronically and immediately (or within a maximum of 24 hours) after payment confirmation. Service delivery is perfected upon server activation, resource assignment (IP address, access credentials, control panel) and availability of the contracted service. Activation records in Baires Host systems, client access logs, resource usage (CPU, RAM, bandwidth, storage) and any activity recorded on the server constitute conclusive and irrefutable proof of effective delivery and use of the service. The client accepts that once the service is activated, it is considered delivered in full regardless of whether the client makes effective use of it.

6. Chargebacks, payment disputes and fraud

It is STRICTLY PROHIBITED to initiate chargebacks, disputes, reversals, purchase denials or any claim with payment processors, banks, credit/debit card issuers, electronic wallets (including Mercado Pago) or any financial intermediary, for services that have been effectively delivered and/or used. A client who initiates a chargeback or payment dispute for a service already provisioned and delivered: (a) will have their account and all services suspended immediately without prior notice; (b) will be liable for the full service amount plus an administrative fee of 50% of the disputed amount for chargeback management costs; (c) authorizes Baires Host to report the conduct as fraud to competent authorities and the payment processor; (d) waives any right to data stored on the servers, which may be deleted; (e) will be included in an internal fraudulent client registry and permanently banned from future services; (f) will be liable for all legal, administrative and management costs incurred by Baires Host to defend the chargeback. Baires Host maintains detailed records of: service activation date and time, access and usage logs, connection IP addresses, resource consumption, support tickets, and all evidence demonstrating effective service delivery, which will be presented as proof to the payment processor and/or competent judicial authority. Initiating a fraudulent chargeback may constitute fraud under Argentine Criminal Code (arts. 172 and 173) and will be reported to criminal authorities.

7. Pricing and adjustments

Prices may be updated with 30 days prior notice by email. Adjustments apply to the next billing cycle. If the client disagrees with the new price, they may cancel before renewal without penalty, but without right to refund of the already-paid period. Prices in foreign currency (USD) may vary according to exchange rates without prior notice.

8. Acceptable use

Services must be used legally and ethically in accordance with applicable Argentine and international law. Strictly prohibited activities include: distributing malware, attacking third parties (DDoS, brute force, port scanning), hosting illegal content or content that violates third-party rights, sending spam, unauthorized cryptocurrency mining, hosting child sexual abuse material, operating phishing or fraud services, initiating fraudulent chargebacks or payment disputes, and any activity that compromises network stability or affects other clients.

9. Suspension and termination

Baires Host may immediately suspend services without prior notice for: acceptable use policy violations, activity endangering infrastructure or other clients, competent authority requirements, suspected fraud, or initiation of a chargeback or payment dispute. For non-payment, the service is suspended 3 days after the due date and data is permanently deleted 7 days after suspension. Termination for terms violation does not generate any right to refund or compensation.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: Baires Host shall not be liable for indirect, incidental, special, consequential damages, lost profits, data loss, business loss, business interruption or punitive damages, regardless of cause or theory of liability. Baires Host's total cumulative liability for any claim shall not exceed the amount actually paid by the client for the specific affected service during the last 30 days. The client acknowledges this limitation is reasonable given the nature and price of the service.

11. Indemnification

The client agrees to indemnify, defend and hold harmless Baires Host, its directors, employees and providers, from any claim, demand, loss, damage, cost or expense (including reasonable legal fees) arising from: the client's use of the service, violation of these terms, infringement of third-party rights, or the initiation of fraudulent or unfounded chargebacks, disputes or payment reversals. This indemnification obligation survives termination of the contractual relationship.

12. Backups and data responsibility

While Baires Host may offer automatic backups on certain plans as a courtesy, THE CLIENT IS SOLELY RESPONSIBLE for their data, applications and configurations. Baires Host does not guarantee the integrity, availability or recoverability of automatic backups. The client must maintain independent external backup copies of all critical information. Baires Host shall not be liable for data loss under any circumstances.

13. Intellectual property

The client retains all rights to their content and data. Baires Host retains all rights to its platform, brand, software, documentation and materials. The client does not acquire any intellectual property rights over Baires Host infrastructure through use of the service.

14. Technical support scope

Baires Host provides 24/7 technical support exclusively for infrastructure-related incidents (network, hardware, virtualization, control panel). Support does NOT include: client application administration, software development or debugging, third-party application configuration, code optimization, or general technical consulting. Managed administration services may be contracted separately.

15. Force majeure

Baires Host shall not be liable for failures caused by events beyond its reasonable control, including but not limited to: natural disasters, pandemics, armed conflicts, terrorism, power or telecommunications provider failures, government regulations, massive cyberattacks, or any other force majeure event under Argentine law.

16. Privacy and personal data

Personal data processing is governed by our Privacy Policy, which forms an integral part of these terms. The client authorizes Baires Host to process their personal data in accordance with said policy and Argentine Personal Data Protection Law 25.326.

17. Records and evidence

The client accepts that Baires Host electronic records (including access logs, activation records, resource consumption, support tickets, email communications and payment records) constitute valid and sufficient proof of service provision, delivery and effective use. These records have full evidentiary value in any administrative, judicial or extrajudicial proceeding, including payment disputes and chargebacks. Baires Host retains these records for a minimum of 5 years from the transaction date.

18. Communications

Official communications are made by email to the address registered in the client's account. The client is responsible for keeping their email updated. Notifications are considered received 24 hours after sending.

19. Assignment

The client may not assign or transfer their account or services to third parties without prior written authorization from Baires Host. Baires Host may assign these terms to a successor in case of merger, acquisition or asset sale.

20. Jurisdiction and dispute resolution

These terms are governed by the laws of the Argentine Republic. For any dispute arising from these terms or use of the services, the parties submit to the exclusive jurisdiction of the Ordinary Courts of the City of Buenos Aires, waiving any other forum or jurisdiction that may correspond.

21. Modifications

Baires Host reserves the right to modify these terms at any time with 30 days prior notice by email. Continued use of the service after the notification period constitutes acceptance of the modified terms. If the client does not accept the modifications, they may cancel the service before they take effect.

22. Severability

If any clause of these terms is declared invalid or unenforceable by a competent court, the remaining clauses shall remain in full force and effect.
